Part A: General Terms and Conditions
This document/agreement/understanding is a computer-generated electronic record published in terms of Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 read with Information Technology Act, 2000 and does not require any physical or digital signatures.
These Terms and Conditions ("Terms") constitute a legal agreement between You and Razorpay Software Private Limited ("Razorpay"). The Terms govern Your access to and use of Razorpay services, including payments, technology, software, analytics or any other services offered by Razorpay and/or its Affiliates ("Services"). "You", "Yours", or "Merchant" refers to customers who register for, use, or access the Platform or Services.
Please read these Terms carefully before accessing the Platform or using the Services. By accessing the Platform or using the Services, You agree to be bound by these Terms, including our Privacy Policy. Razorpay reserves the right to amend the Terms at any time by posting an updated version on the website.
1. Proprietary Rights
We remain the sole owner of all right, title and interest in the Services, including the Platform and the website www.razorpay.com, including any intellectual property rights. Razorpay grants You a personal, non-exclusive, non-transferable, limited right to access the Platform and make personal use of the website and the Services. You shall not remove, obscure, or alter any proprietary rights notices. You shall not download, copy, create a derivative work, modify, reverse engineer, reverse assemble, transmit or otherwise attempt to discover any source code, sell, assign, sub-license, or otherwise transfer any right in the Services.
You grant a royalty-free, non-exclusive, irrevocable, transferable and sub-licensable license to Razorpay to use Your data, Your customer's data, information, content, trademarks, logos and any other materials You upload or make available on the Platform. You agree that Razorpay may use Your materials to operate and improve the Platform, provide the Services, and in its marketing and promotional materials. You shall indemnify Razorpay against all claims and losses arising out of our use of Your Materials.
2. Usage of the Website and Use of Services
You shall register only if You are of the age of 18 or above and can enter into binding contracts as per Applicable Laws. You are responsible for maintaining the secrecy of Your passwords, login and account information. You will be responsible for all use of the Platform and/or Services by You or anyone using Your password and login information.
You agree to provide true, accurate, current and complete information about Yourself as prompted by the Platform. If You provide any information that is untrue, inaccurate, or incomplete, Razorpay shall have the right to immediately suspend or terminate Your account.
By using the Services and providing your contact information, you consent to receiving information about products and services from Razorpay, its Affiliates or third parties through various channels including telephone, SMS, email, WhatsApp, or other messaging services. You explicitly waive any registration under the Do Not Disturb (DND) or National Customer Preference Register (NCPR) in accordance with TRAI regulations.
You agree and authorize Razorpay to share your information with its partner banks, financial institutions, group companies, Affiliates, vendors, service providers, and other third parties as necessary to provide the various products and services you select.
By accessing the Platform, You acknowledge that we may display offers, promotions, and other content from our partners, Affiliates, and third parties tailored based on the information provided. We do not guarantee the accuracy, quality, or suitability of any offers presented.
You acknowledge that Razorpay may undertake due diligence measures and seek KYC information. You are solely responsible for understanding and complying with all Applicable Laws, including RBI Guidelines on Regulation of Payment Aggregators and Payment Gateways, Payment and Settlement Systems Act, 2007, and Prevention of Money Laundering Act, 2002.
Before commencement of any Service(s), You shall provide necessary KYC Documents to enable Razorpay to conduct due diligence. Razorpay shall have the right to share KYC Documents with Facility Providers or governmental authorities as required under Applicable Laws.
Razorpay shall have the right to demand additional KYC Documents at its sole discretion. Your failure to submit KYC Documents when requisitioned shall entitle Razorpay to suspend the Services and/or stop settlement of monies.
You agree that Razorpay shall not be responsible for any delivery, after-sales service, payment, invoicing or collection, customer enquiries, technical support or any other obligations relating to Your products or services. Such obligations shall be Your sole responsibility.
Throughout Your use of the Services, You declare that You or Your affiliates and/or its Beneficial Owner are not a Politically Exposed Person. You shall forthwith inform us in writing if this declaration becomes untrue.
Additional usage obligations include: obtaining proper consent for Personal Information processing; refraining from unlawful use of the Platform; prohibition on posting unlawful or harmful content; representations and warranties regarding corporate capacity, lawful business activities, and prohibition on virtual currency/cryptocurrency activities; ensuring customer consent for data sharing; acknowledging complex nature of Services requiring Facility Providers; facilitating integration of Razorpay solutions; assisting in audits and record retention for 10 years; not representing as Razorpay's agent; discretion on convenience fees; and prohibition on engaging unapproved third-party orchestrators.
3. Payment
Applicable fees shall be levied by Razorpay from time to time according to rates determined by Razorpay. Razorpay fees include MDR charges for payment instruments as prescribed, including zero MDR for Rupay Debit Cards and UPI transactions.
Fees are exclusive of applicable taxes. Any statutory variations in applicable taxes during the subsistence of these Terms shall be borne by You.
Monthly invoices shall be raised for fees charged. Any dispute must be communicated within ten (10) days from the date of the invoice. Razorpay shall use good faith efforts to reconcile any reasonably disputed amounts.
You shall reconcile on a daily basis all transactions processed. Discrepancies must be reported to Razorpay within three (3) days upon receipt of funds.
TDS obligations under Section 194H of the Income Tax Act apply to fees. E-commerce operators must comply with TDS under Section 194O. You shall update GST registration number on the Razorpay dashboard before invoice generation and are solely responsible for any errors in GST information provided.
4. Privacy Policy
By using the website, You hereby consent to the use of Your information as outlined in our Privacy Policy.
5. Third Party Links / Offers
The Platform contains links to other websites over which we have no control. Razorpay is not responsible for the terms, conditions, or privacy policies of other websites. Your interaction with any third party accessed through the website is at Your own risk.
6. Our Partners
This Platform also offers You access to information primarily about certain financial products/services including loan facility, credit cards facility, investment services such as current accounts offered by our lending partners.
7. Disclaimer of Warranty
To the maximum extent permitted by Applicable Laws, the Platform and the Services are provided on an "as is" basis. Razorpay does not warrant that the Service(s) will be uninterrupted or error free or fit for Your specific business purposes.
8. Limitation of Liability
Razorpay (including its officers, directors, employees, representatives, affiliates, and providers) will not be responsible or liable for any injury, death, loss, claim, accident, delay, or any direct, special, exemplary, punitive, indirect, incidental or consequential damages of any kind (including without limitation lost profits or lost savings), whether based in contract, tort, strict liability or otherwise.
Razorpay's aggregate liability relating to the Service(s) will not exceed an amount equal to one (1) month fees paid by You for the specific Service(s) giving rise to the liability.
9. Indemnity
You agree to indemnify and hold Razorpay harmless from any and against all claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses arising out of or related to Your breach of these Terms, Your violation of any Applicable Laws or the rights of a third party, or Your use of the Platform.
10. Card Association Rules
"Card Payment Network Rules" refer to the written rules, regulations, releases, guidelines, processes, interpretations and other requirements imposed by the card payment networks which require You to comply with all applicable guidelines, rules, and regulations formulated by them.
Card payment networks reserve the right to amend their rules from time to time. You agree to fully comply with all programs and requirements mandated by card payment networks. In the event Your non-compliance results in fines or penalties levied on Razorpay, You shall forthwith reimburse Razorpay such amounts.
11. Waiver
Razorpay shall not be deemed to have waived any right or provision of this Agreement unless such waiver is made in writing. A waiver of any term shall not be deemed a waiver of any other term, nor shall it be a continuing waiver.
12. Force Majeure
If performance of Services is prevented, restricted, delayed or interfered with by reason of labour disputes, strikes, acts of God, epidemic, pandemic, floods, severe weather, utility or communication failures, war, revolution, acts of terrorism, civil commotion, acts of public enemies, blockade, embargo or any law, order, proclamation, regulation, ordinance, demand or requirement having legal effect of any government or regulatory authority, then Razorpay shall be excused and discharged from such performance to the extent of and during the period of such force majeure event.
13. Anti Bribery and Sanctions Laws
You agree to comply with all applicable anti-bribery and anti-corruption laws which prohibit officials, representatives, agents or any other person associated with You from giving, offering, promising to offer, receiving or accepting anything of value (either directly or indirectly) to government officials, public servants, regulatory bodies, judicial authorities, political parties or any other third party in order to obtain an improper commercial/business advantage.
14. Additional Terms
You shall not assign or otherwise transfer Your rights or obligations under these Terms. Razorpay may assign its rights and duties without any notice to You. The laws of India will govern these Terms and any legal action shall be filed in courts located in Bangalore, India.
Razorpay may blacklist end users to manage fraud and risk. Razorpay has the right to set-off liabilities against any funds owing to You. You shall not describe Yourself as an agent or representative of Razorpay. Dynamic Currency Conversion (DCC) services may be availed by end users; for DCC invoices contact dcc_invoice@razorpay.com.
15. Advertising
Some of the Services may be supported by advertising revenue and may display advertisements and promotional material. The manner, mode and extent of advertising by Razorpay are subject to change without specific notice to You.
16. Suspension and Termination
Razorpay shall have the right to immediately suspend Services, without any liability, in the event of:
(a) Breach of any clause of these Terms.
(b) Facilitation of any unlawful transaction or prohibited products/services.
(c) Instructions from Facility Providers or governmental/law enforcement agencies.
(d) High-risk transactions as per Razorpay's internal fraud assessment.
(e) Suspicious circumstances surrounding Your activities.
(f) Excessive disputes, refunds, or reversals.
(g) Suspected infringement of intellectual property rights.
(h) Material change in products/services without prior written permission.
(i) Activities exposing Razorpay to unacceptable risks at Razorpay's sole discretion.
(j) Regulatory changes impacting the Services.
These Terms are effective upon the date You first access or use the Platform and continue until terminated. We may terminate these Terms or close Your Razorpay account at any time for any reason. Termination does not relieve You of obligations incurred under these Terms.
17. Prohibited Products and Services
The following products and services are prohibited on the Platform:
- Adult goods and services including pornography and sexually suggestive materials; escort or prostitution services
- Alcohol including beer, liquor, wine, or champagne
- Body parts including organs or other body parts
- Bulk marketing tools including email lists, software, or other products enabling unsolicited email messages (spam)
- Cable descramblers and black boxes intended to obtain cable and satellite signals for free
- Child pornography
- Copyright unlocking devices including mod chips or other devices designed to circumvent copyright protection
- Copyrighted media – unauthorized copies of books, music, movies, and other licensed or protected materials
- Counterfeit and unauthorized goods including replicas or imitations of designer goods; fake autographs
- Drugs and drug paraphernalia including illegal drugs and drug accessories
- Drug test circumvention aids including drug cleansing shakes, urine test additives
- Endangered species including plants, animals or other organisms in danger of extinction
- Gaming/gambling including lottery tickets, sports bets, memberships in online gambling sites
- Government IDs or documents including fake IDs, passports, diplomas, and noble titles
- Hacking and cracking materials including manuals, how-to guides, information enabling illegal access
- Illegal goods including materials, products, or information promoting illegal goods or enabling illegal acts
- Miracle cures including unsubstantiated cures, remedies or other items marketed as quick health fixes
- Offensive goods including literature, products that defame or slander any person or group based on race, ethnicity, religion, sex, or other factors
- Pyrotechnic devices, combustibles, corrosives and hazardous materials including explosives
- Regulated goods including air bags, batteries containing mercury, chemical/industrial solvents
- Securities including government bonds or related financial products
- Tobacco and cigarettes including cigarettes, cigars, chewing tobacco
- Traffic devices including radar detectors/jammers, license plate covers
- Weapons including firearms, ammunition, knives, brass knuckles, gun parts, and other armaments
- Wholesale currency including discounted currencies or currency exchanges
- Live animals or hides/skins/teeth, nails and other parts of animals
- Multi-level marketing collection fees
- Matrix sites or sites using a matrix scheme approach
- Drop-shipped merchandise
- Virtual currency, cryptocurrency and other crypto products (like non-fungible tokens or NFTs)
- Money laundering services
- Database providers (for tele-callers)
- Bidding/auction houses
- Activities prohibited by the Telecom Regulatory Authority of India
- Entities operating as chit funds/nidhi companies (except government or PSU entities)
- Unregulated/unlicensed money service business (MSB) or money and value transfer services (MVTS)
- Any other activities prohibited by Applicable Laws
The above list is subject to updates/changes by Razorpay based on instructions received from Facility Providers.
18. Definitions
Part B: Specific Terms and Conditions
Part I – Specific Terms for Online Payment Aggregation Services
1. Payment Processing
Razorpay shall facilitate collection of online payments for products/services sold by You. Where any settlement amount is less than Rupee 1, Razorpay shall endeavour to, but is not obligated to, make such settlement.
Razorpay shall settle the Transaction Amount (net of Permissible Deductions) into your account as per agreed timelines in compliance with the PA/PG guidelines, subject to credit to Razorpay in the Escrow Account from acquiring banks or gateways.
Razorpay has an absolute right to recover Transaction Amounts settled early if not received in Escrow Account within three (3) working days; to place limits on Transaction value; to deduct fees from Fee Credits; to recover amounts charged by Facility Providers; to refund monies to source accounts if settlement is rejected; and to withhold settlement and refund back to source under regulatory or internal determinations.
2. Chargebacks
Liability for Chargeback, whether domestic or international, solely rests with You. You shall furnish Chargeback Documents within three (3) calendar days of receiving notification of the Chargeback Request to substantiate completion of the Transaction and/or delivery of goods/services.
If Chargeback Documents are not furnished or are unsatisfactory, the Facility Provider shall order reversal of the Chargeback Amount to the customer's Payment Instrument. Razorpay is entitled to recover Chargeback Amounts from Transaction Amounts or other funds held. Upon termination, Razorpay reserves the right to withhold a Stipulated Percentage for 120 days (Withholding Term) to settle Chargebacks.
3. Refunds
Refunds are at Your sole discretion subject to availability of funds in the Escrow Account. All Refunds shall be routed to the same payment method through which the Transaction was processed. Razorpay fees are always applicable irrespective of Refunds. Uncaptured authorized payments may be auto-refunded within five (5) days.
4. Fraudulent Transactions
If a Facility Provider notifies Razorpay of an unauthorized debit ("Fraudulent Transaction"), Razorpay is entitled to suspend settlements during the pendency of inquiries. Razorpay shall not be responsible for any liability arising in respect of Fraudulent Transactions. The decision of NPCI or concerned acquiring bank on fraud liability under NPCI guidelines shall be final and binding.
5. General
In case of conflict between Part A and Part B, Part B shall prevail. Clauses 2 and 4 of Part I shall survive termination. You consent to Razorpay sharing Your information with its Affiliates for products/services facilitation. Razorpay may deduct amounts from Your settlement account per Your instructions, with fees and liabilities deducted first.
6. Compliance with Payment Aggregator Guidelines
You represent and warrant compliance with the Payment Aggregator Guidelines; display of return/refund policy to customers; not storing customer Payment Instrument data; and compliance with PCI DSS and PA-DSS standards. You shall set up a customer grievance redressal mechanism and respond to grievances within 5 business days.
7. Service Descriptions
Optimizer Services is a technology solution enabling You to route payments through specific payment gateways based on Your business conditions and preferences. Razorpay acts solely as a SaaS provider for Optimizer Services, not as a payment service provider.
Value added services are subject to additional charges to be agreed upon. You acknowledge that Customisable Templates provided by Razorpay are available on an "as is" basis and it is Your sole responsibility to verify their suitability and seek independent legal advice prior to use.
Part IB: Online Payment Aggregation (Cross Border) Services
If You are a Merchant incorporated or operating from outside India and intend to receive payments from Customers located in India, the following terms apply.
Razorpay shall facilitate collection and settlement of online payments in compliance with PA-CB guidelines. Settlement shall be within five (5) Escrow Bank Working Days net of Permissible Deductions. Transaction documents (digital invoices, transport documents) must be provided within three (3) days of request. A currency conversion fee applies at the time of converting INR to the settlement currency. Transaction value per Transaction shall not exceed INR 25,00,000. KYC documents are required for transactions exceeding INR 2,50,000. OIDAR services compliance under GST laws is the Merchant's sole responsibility.
Part II: Specific Terms for E-Mandate Services
E-Mandate Services govern automated deductions of pre-determined payments from Bank Accounts pursuant to electronic mandates issued by customers. Razorpay is responsible only for transmission of customer details to the Sponsor Bank and shall not be responsible for failure or refusal of E-Mandate Registration by the Destination Bank or NPCI.
Part III: Specific Terms for TokenHQ Services
TokenHQ is an end-to-end solution allowing Your customers to continue using the saved cards feature in compliance with RBI's tokenisation guidelines. You shall be solely responsible for obtaining explicit customer consent to tokenize and save the customer's card, and for providing the option to de-register the token.
Part IV: Specific Terms for Subscription Services
Subscription Services provide the platform to create and manage subscription plans with automated recurring transactions. Customer Card details must be tokenized in accordance with Applicable Laws. You are solely responsible for obtaining informed consent from customers for processing of e-mandates.
Part V: Razorpay Partner Program
The Razorpay partner program is a referral program through which You can refer Razorpay services to Your clients or customers and get rewarded. You may become a partner by agreeing to the detailed Partner Terms and Conditions and signing up as a partner.
Part VI: Magic Checkout
Magic Checkout is the checkout technology platform developed by Razorpay enabling customers registered with Razorpay to seamlessly save and use their information for placing orders. You shall obtain all consents required under Applicable Law from Your customers before sharing PII with Razorpay.
Part VII: Specific Terms for Offline Aggregation Services and Devices
(a) Razorpay POS Payment Services – Ability to process payments from various modes opted by the Merchant.
(b) American Express Cards – Upon request, Razorpay POS has the ability to support American Express Cards, subject to approval and compliance with American Express policy.
(c) Mobile Application – Razorpay POS will supply a mobile application and SDK for accessing Razorpay POS software solutions.
(d) Portal – Transaction records retained and maintained with merchant portal access.
(e) Affordability Services – EMI (CC, DC, Brand EMI, NBFC), BNPL, Cashback Offers, and IBD payment options. Settlement timelines:

(f) Reconciliation Services – Transaction reconciliation services dependent on settlement data shared by Merchant's partner bank.
(g) EMI Plus Services – Zero Cost EMI programme. Monthly default Wallet limit INR 2,00,000 per POS terminal. Maximum 4 POS terminals per merchant.
(h) SMS Pay – Card Not Present (CNP) – Payment collection via SMS pay links with Merchant responsible for explicit customer consent.
(i) Digital Invoicing Services – Digital invoice sharing service in association with JHKP Technologies Private Limited (BillMe).
Each Device has a minimum lock-in period of 12 months. Early deactivation or return requires payment of rental fees for unexpired duration. Rental Devices are exclusive property of Razorpay POS. Loss/misplacement charges apply at full Device price. Delayed payment attracts 15% per annum interest.

YOUR PRIVACY IS EXTREMELY IMPORTANT TO US. UPON ACCEPTANCE OF THESE TERMS YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD AND UNEQUIVOCALLY ACCEPTED OUR POLICIES, INCLUDING THE PROVISIONS OF OUR PRIVACY POLICY.
